## Overview
Casting Cloud is a digital platform designed to streamline the online casting process for **producers** and **casting** teams. It allows **agents** and **artists** to create talent profiles, complete with the latest headshots and CVs. Through Casting Cloud, artists and agents can discover active casting briefs and submit applications, responding to any questions from the creative team and producers. The platform supports the entire audition process, enabling efficient scheduling, online auditions, and consolidated note-taking among the casting team.

## Why Use Casting Cloud

Casting Cloud is designed to minimize administrative burdens during the casting process, ensuring all participants have the necessary information to present their best selves and discover outstanding talent to bring stories to life.

With Casting Cloud, you gain the ability to:

* **Discover opportunities** and showcase your talent to casting teams for consideration.
* **Brief the industry** and start capturing submissions from a broad group of talent with the data you need to make decisions.
* **Shortlist submissions** and schedule follow-up auditions.
* **Schedule auditions** and capture notes, videos and showcase talent effectively to make decisions.

## Getting Started
Any Artist, Agent or Creative is able to begin using Casting Cloud, after [sign up](../auth/sign-up) simply select how you would like to use the platform.


### Artists
Once you have signed up, from the left navigation you are able to access **My Profile** and **Briefs**.

Get started by:
* **Create an account** - sign up and select Artist
* **Make your profile** - start by creating your artist profile, select My Profile from the left hand navigation and provide your details, upload recent headshots, cvs and any show reels you wish producers and creatives to view.
* **Discover briefs** - view any active briefs within **Briefs**, here active briefs from creative teams will display and you can find out more information about roles.
* **Submit to briefs** - submit an application for any roles you wish to be considered, answering any required question from the creative team.

### Agents
Agents are able to sign up and create an Agency account, if you work with multiple agents you can invite collegues and add all Artists under management, creating an Artist Profile for each.

To get started as an agent:
* **Sign up** - sign up and select Agent
* **Add managed artists** - start by creating your first Artist profile, select **Artists** and **Add Artist** provide artists details, upload recent headshots, cvs and any show reels you wish producers and creatives to view.
* **Discover briefs** - view any active briefs within **Briefs**, here active briefs from creative teams will display and you can find out more information about roles.
* **Submit to briefs** - submit an application for any roles you wish talent to be considered, answering any required question from the creative team.

### Creatives & Producers 
Producers and creatives are able to signup and select Creative. Upon signup you'll be prompted to create a Project which you wish to cast for.

Get started as a producer by:
* **Create Project** - sign up and create a project you wish to cast for
* **Add roles** - under **Roles** add the relevent roles and information artists will need to consider if they are well suited for a given roles
* **Brief** - under **Briefs** create your first brief, select the roles you wish accept submissions for and any questions you want artists and agents to provide during the process.
* **Start accepting submissions** - when your ready to accept submissions, simply toggle your brief to make it live. This will enable Artists and Agents to discover your casting call.
* **Review artists** - once artists submit, you're able to review submissions from the **Submissions** page. Add notes or shortlist using the actions on the right hand side.

## Overview
Casting Cloud is a digital casting platform that enables artists, agents and producers to collaborate and share inforamtion throughout the casting journey. After signing up to Casting Cloud one of the first things you will be required to do is create an Artist Profile. This includes information like your name, headshots, PDF CV and optionally any show reels.

The important aspects of your profile are:
* **Personal Information**: within your profile you are able to provide personal inforamtion. Be aware this inforamtion is made available to producers when you choose to submit, or is accessible to producers out of audition if you choose to mark your profile as public.
* **Representation**: you can connect your profile with an agency which is representing you. This allows both yourself and that agency the ability to edit your profile, make submissions, and accept auditions on your behalf. We recommend linking your account so you both have access to important information throughout the casting journey
* **Showcase**: your profile is used throughout the Casting Cloud application to showcase you and help producers identify you. Please be mindful when uploading headshots and any supporting showreels.

## Creating your account
Begin by creating an **Artist** Casting Cloud account. There is no cost associated and you can [signup here](https://castingcloud.com.au/auth/sign-up).

If you are an individual artist select your account type as **Artist**. This covers both **self represented** or artists who are **represented by an agency**.

## Creating your profile
To be able to make submissions and accept auditions you will need to create an Artist Profile. You can do this from the left hand menu by clicking on **My Profile**. Begin by providing your details. If you are under the age of 17 you are required to nominate a gaurdian who will be present with you throughout the audition process. 

## Agent Representation
If you are presently represented by an agent you are able to define this by selecting the toggle *'Does an agent represent you?'*. Below Artist Details you will now see an additional section of your profile where you can provide **Agent Details**.

You are able to link your profile with an Agent. This will provide both yourself and the agency shared access to your profile, submissions and auditions. Allowing both parties the ability to create, edit and delete. To link your account with an Agent search for the agency within the **Link With Agent** dropdown.

**Unable to find your agent?** If you are unable to find your agent, simply provide your agents details and leave your profile unlinked. You can inform your agent that you were unable to link your profie and request them to signup upon which you can link your profile.

## Supporting Media
Within your profile you are able to provide Headshots, CVs and Showreels. This inforamtion will be made available to producers throughout the casting process and at any point in time you can update it.

## Public Profiles
If you wish to make your profile public, this will enable producers and creatives to find your profile and engage with you outside of a briefing period. This is optional and by default your profile will remain private until you choose to make a submission.

## Overview
When users submit from a brief they will appear witihn the Submissions view. You can find this on the left hand navigation under Submissions. This view allows you to **filter** submissions, **review** and **shortlist** talent for progressing into auditions. Submissions which are marked as progressing can then be scheduled. 

The important capabilities within Submissions are:

* **View**: you're able to find, sort & filter submissions based on a range of critiera to focus your review process on qualified talent
* **Review**: you can view talents profile, CV, and answer's to questions capturing during the application process.
* **Decide**: you can capture talent to progress, consider in the future, or to remove from the process as well as any context or notes for consideration within the audition process.

## Viewing submissions
To focus the submission table on the crtiiera which is most important in your review process their are several features

### Table Columns
You can select which columns to view from the Columns drop down, this allows you to focus the view on the information you will actively draw from to make decisions

### Filtering Submissions
You can filter submissions using the Search in the top right, or on a per column basis by clicking on the Filter icon show at within the header against each column.

### Sorting
By default submissions are sorted by the date they are received, with those most recent on the top. You can however change this by clicking on the column Header to sort by decending, and clicking again to sort by ascending. This allows you to effectively choose where you will start your review process from.

## Reviewing a submission
Additional information to assist during the review process can be found within the Artist, Submission, and CV modal. 

### Artist Profile 
To access the artist profile you can click on the Artist name. Here you will be able to find the Aritst background, headshots and any showreels which have been provided.

Below the Aritst name you can click on Curriculum Vitae to review the artists provided CV. 

### Submission Answers
During the submission process you can require talent to answer specific questions, in addition to viewing this within the table you can click on the Submission button under the far right actions column to see this within a modal.

## Shortlisting a submission
To capture decisions during the review of submissions you can access the Actions column on the far right. This allows you to access several features to assist in capturing your decision. 

### Notes
You can capture notes by clicking on the comment button under the action column. This allows you to capture any free text comments.

### Decision 
You can capture a decision by clicking the thumbsup (to progress talent), the pause icon (for future consideration) or the thumbsdown to reject the submission. This will become illuminated and you will see the status now reflected within the status column.

When you choose to progress talent you will be prompted to adjust which roles you are looking to progress the talent for as well as any audition notes. These will be visible at the time of scheduling the talents audition.

If an Agent or Artist decides to remove their submission you will see this refected within the table with the status 'Withdrawn'.

### Activity
At any point you can see the history of the submission by clicking on the comment field on the far right, this will display any notes, decisions, or activitiy on the submission.

## Name your agency

1. Go to **Settings → Agency**.
2. Enter your agency name and save your changes.

Your agency name is displayed anywhere your roster appears, so artists and casting teams can immediately see which agency represents them.

## Add agents to your team

1. Open **Settings → Members**.
2. Select **Invite member**, add the agent's name and email, then send the invite.
3. New agents receive an email invitation; once accepted they gain access to manage the shared agency roster.

Use roles and permissions to ensure every agent has the right level of access for your workflow.

## Fully managed clients

* Go to **Artists** and select **Add artist** to create the profile on your client's behalf.
* Complete the profile details, upload assets, and keep their information up to date.
* Only your agency will receive notifications, submit to briefs, and RSVP to auditions for fully managed clients.

This approach keeps communication streamlined and gives your team complete control over submissions and scheduling.

## Collaborative client management

Invite clients to create their own profile so you can collaborate together:

1. Ask your client to join Casting Cloud for free and build their artist profile.
2. Have them list your email address in the **Representation** section so you are identified as their agent.
3. You'll receive an invitation to connect; accept it to link the profiles.

Once linked, you and your client share access to the same profile, making it easy to coordinate updates and submissions.

## Consolidate duplicate profiles

If you and your client both created profiles by accident, simply link them using the invitation flow above. Casting Cloud automatically consolidates the records so you retain a single, accurate client profile.

## How this policy works

This Privacy Policy applies to the collection, use, disclosure and handling of Personal Information by CastingCloud.com.au and its related entities (“we”, “us”, or Casting Cloud), including information collected via castingcloud.com.au (our “website”), product pages, mobile and/or web applications (collectively, the “Services”).

As Casting Cloud is an Australian business, this Privacy Policy takes into account the requirements of the Australian Privacy Principles set out in the Australian Privacy Act, as well as other applicable privacy laws.

Any capitalized terms not defined in this Privacy Policy have the meanings given to those terms in our Master Subscription Agreement.

Your privacy is very important to us, and we encourage you to read this Privacy Policy carefully. By providing Personal Information to us, you consent to our collection, handling, use and disclosure of your information in accordance with this Privacy Policy. If we are not able to collect certain Personal Information about you, this may limit your ability to use or access the Services.

This Policy does not apply to websites, apps, products, or services that we do not own or control. Further, where our Services are made available to you via an organization (for example, where your employer is our Customer and has made you an Authorized User of the Services under our contract with them), that organization will control the information processed via the Services, including Customer Data. This means that this Privacy Policy will not apply to that information, and Casting Cloud will not be responsible for the privacy practices of that organization. Rather, your information will be subject to that organization’s practices, policies, and collection notices. We encourage you to review these materials as they relate to the handling of your information.

## What information we collect

We collect Personal Information in several ways. We may collect information directly from you or during our dealings with you, for example where you use our Services, contact and correspond with us, attend our premises or events, or apply for a position of employment with us.

When you use our Services, you may provide information to us. This includes:

* when you set up a profile, your name, email address, and profile photo (“Account Information”);
* content you provide through the Services (briefs, user submissions, auditions and comments);
* content users provdie to you in the form of submissions and auditions, videos, audio and documents.
* when you subscribe to our paid services, your billing details including your billing address;
* additional Personal Information that you provide to us directly or indirectly through your use of our Services, associated social media platforms or accounts from which you permit us to collect information.

 We log certain information  about your access to and use of our Services (“Technical Information”). This includes:

* device data (including, but not limited to, the type of device you use, data on device advertising ID’s and similar hardware qualifiers, the browser you use, your operating system, and approximate geographic location data);
* usage data (including, but not limited to, search terms entered, pages viewed, and other usage behavior identified by analytics events);
* network and internet information (including, but not limited to, URLs, and Internet Protocol addresses); and
* information we collect via cookies and other tracking technologies (please see the “How Do We Use Tracking Technologies” section below for more information).

## How we use information we collect

The way we use your information depends on our relationship with you and the purpose of collection. We collect and use your information:

* to deliver our Services and enable you to access and use our Services;
* to improve our Services and your overall user experience;
* to process your payments where you have signed up to a paid service;

### Sharing with other users
Casting Cloud is a collaborative cloud product built for teams. This means sharing information with others through the Services, and with certain third parties. For example, your profile information or content you upload to the Services may be shared with other members of your production or the Casting Team administering the production. These people are usually colleagues you work with day-to-day, or casting professionals you are seeking to work with.

### Sharing with third parties
In addition to the specific circumstances discussed elsewhere in this policy, we may share Personal Information:

* with third parties performing services to support our core business functions and internal operations;
* with third parties (including agents and sub-contractors) assisting us to provide information, products, services;
* if we have a good-faith belief that access, use, preservation, or disclosure of such information is reasonably necessary to detect or protect against fraud or security issues;
* if otherwise required or permitted by applicable law or regulation, including laws and regulations of Australia and other countries, or in the good faith belief that such action is necessary to: 
    * (a) comply with a legal obligation or in response to a request from law enforcement or other public authorities wherever we may do business; 
    * (b) protect and defend our rights or property; 
    * (c) act in urgent circumstances to protect the personal safety of our users, customers, and contractors/employees; or

## How we use tracking technologies

Some features in the Services may require the use of “cookies” (i.e. small text files that are stored on your device). You may delete and block all cookies from our Services, but parts of the Services may not work. We use different categories of cookies for different reasons. ## Managing your information

You can review, update, correct or delete the Personal Information held by CastingCloud by contacting legal@castingcloud.com.au. If you are a Casting Cloud user, you may also manage certain information directly via your user account. If you wish to remove your user account, you may do so through your account settings. However, this will not necessarily remove all Personal Information held about you by Casting Cloud.

For your protection, we may only share and update the Personal Information associated with the specific email address that you use to send us your request, and we may need to verify your identity before doing so. We will try to comply with such requests in a reasonably timely manner.

Please note that we may retain certain information in anonymized and aggregated form, in archived or backup copies as required pursuant to records retention obligations, or otherwise as required or permitted by law.

We may use some of the information we collect for marketing purposes, including to send you promotional communications about new features, products, events, or other opportunities. If you wish to stop receiving these communications or to opt out of use of your information for these purposes, please follow the opt-out instructions such as clicking "Unsubscribe" (or similar opt-out language) in those communications. You can also contact us at help@castingcloud.com.au to opt out. Please note that we may continue to send you service-related communications, including notices of any updates to our terms of service or privacy policy, via email.

## Data storage, transfer, and security

Majority of Casting Cloud data is hosted within Google Cloud witin the Sydney data center. Your Personal Information may also be stored and processed in other countries where we have facilities or in which we engage service providers. You can read more about our data storage practices here.

We aim to ensure that your information is secure at all times. We have in place a number of physical, technical and organizational measures to safeguard and secure your information and protect it from misuse, interference, loss and unauthorized access, modification and disclosure. These measures are described in detail here.

Although we take measures to safeguard your information, due to the inherent nature of the Internet, we cannot guarantee the security of any information that you transmit to us or receive from us.

## Children under 16

The Services are not directed to individuals who are under the age of 16 and we do not solicit nor knowingly collect Personal Information from children under the age of 16. If you believe that we have unknowingly collected any Personal Information from someone under the age of 16, please contact us immediately at legal@castingcloud.com.au and we will take steps to ensure that the information is deleted.

## Links to other websites

Our Services may contain links to other websites of interest. We do not have any control over those websites. We are not responsible or liable for the protection and privacy of any information which you provide while visiting such websites, and such websites are not governed by this Privacy Policy.

## Changes

We reserve the right to change this Privacy Policy at any time, and such changes will be effective when they are posted to this page. We will notify you of any changes by posting the updated policy to this page, and/or by sending notice to the contact email address associated with your Casting Cloud account, if you have one. By continuing to use our Services or otherwise continuing to interact with us, you acknowledge that the collection, use and sharing of your Personal Information is subject to the updated Privacy Policy. We recommend that you review this page periodically for any changes.

Our target response time is 30 days, and we request that you cooperate with us during this time, including providing us with any relevant information we may require.

## Data encryption

Casting Cloud uses industry-best practices concerning the encryption of data when stored and while in transmission. 

### Encryption at rest
All data, including backups, is encrypted at-rest using AES-256 encryption.

### Encryption in transit
Data is encrypted while moving between us and the browser with Transport Level Security (TLS) 1.2.

### Secure Sockets Layer
Secure Sockets Layer (SSL) certificates are issued and managed through Let's Encrypt, and HTTP Strict Transport Security (HSTS) is enabled. We score an A+ rating on Qualys SSL Labs tests.

## Data retention

### Deleting data
Users can delete data within Casting Cloud if they have the correct access rights. Deleted production data is kept for up to 60 days before it is permanently deleted. It can take up to 30 days for all data to be removed from backups.

### Deleting productions
Users can delete their entire Casting Cloud production if they have the correct access rights. This will delete all data that you have provided to Casting Cloud. It can take up to 30 days for all data to be removed from backups.

### Subscription cancellation
Following the cancellation of a Casting Cloud subscription, you will have at least 30 days to download your customer data from Casting Cloud. After this period, we have no obligation to maintain or provide any customer data to you. We will delete all customer data provided to us after this period.

### Free subscriptions
For Free Plans, data will be retained in the workspace until a cancellation is submitted. Casting Cloud reserves the right to, upon prior written notice to Customer, delete accounts for Free Plans (and all Customer Data contained therein) that have been inactive for more than 90 days.

## Subprocessors
To support delivery of our Services, Casting Cloud engage and use data processors with access to certain Customer Data or Personal Information (each, a “Subprocessor”). This page provides information about each Subprocessor. Please email security@castingcloud.com if you have any questions.

## Data breach disclosure

Casting Cloud is committed to taking all reasonable measures to secure your customer data.

In the unlikely event of a data breach, Casting Cloud is prepared to take steps to limit the effects of any data breach and to assist any customers potentially affected by a data breach with meeting their obligations under law.

### Data breach definition
Casting Cloud defines a data breach as any unlawful destruction, loss, alteration or unauthorized disclosure of access to customer data.

### Notification
Casting Cloud will notify customers without undue delay after becoming aware of a data breach. Customers will be contacted by email and phone (when provided), and followed by multiple periodic updates throughout each day addressing progress and impact.

As an Australian-based business, Casting Cloud is obligated to comply with the Australian Privacy Act. Under the Notifiable Data Breaches scheme Casting Cloud must notify individuals about an eligible data breach when:

* there is unauthorized access to or unauthorized disclosure of personal information, or a loss of personal information, that Casting Cloud holds
* this is likely to result in serious harm to one or more individuals, and
* Casting Cloud hasn't been able to prevent the likely risk of serious harm with remedial action

## Data Security

### Logical separation

Casting Cloud utilizes a multi-tenant architecture where all customers share the same computing resources. Logical separation of data between customers and correct access is enforced through Google Service Rules. Transaction-scoped configuration variables are leveraged in Google Rule policies to ensure the correct access permissions before any data is transmitted to users.



## Development Practices 

### Software development life cycle

Casting Cloud follows standard Software Development Life Cycle (SDLC) policies and procedures to guide in implementing and documenting application and infrastructure changes.

### Development environments
All code is deploy and tested in a staging (development) environment that is functionality equivalent to production environments. Casting Cloud performs testing and quality assurance procedures in this staging environment before releasing to the production environment that is used by customers. No customer data is ever used or accessible from staging or local development environments.

### Version control
Casting Cloud employs Git version control to maintain source code versions and manage the migration of source code through the development process through to release. Using a decentralized version control allows multiple developers to work simultaneously on features, bug fixes, and new releases; it also allows each developer to work on their own local code branches in a local environment. Git maintains a history of code changes, supports rollback capabilities and tracks changes to individually identifiable developers.

All code is written, tested, and saved in a local repository before being synced to the origin repository. Writing code locally decouples the developer from the production version of the Casting Cloud code base and insulates Casting Cloud from accidental code changes that could affect users. Any changes involving the persistence layer (database) are performed locally when developing new code, where errors or bugs can be spotted before the change is deployed to users.

### Code review
Code changes are managed and reviewed through Git pull requests. Every pull request is manually reviewed and approved before it can be merged. Automatic and integrated testing is also performed with each pull request, and all tests must pass before a code change can be merged.

### Security bugs
Security bugs represent key issues and will be resolved quickly to maintain the security, confidentiality, privacy, processing integrity, and availability of the Casting Cloud service. Casting Cloud uses Vercel's provided SLA benchmarks to ensure compliance and timely resolution of bugs.

This document aims to transparently represent our security practices and outlines how your data is managed, protected and used.

Data security and privacy


This website is operated by Casting Cloud. (“we”, “our” or “us”) and is available at castingcloud.com.au (“Site”).

Where you create an account or are invited by an account holder with a Production (“Customer”) to create a user account as an end user (“User Account”), these User Terms of Service (“User Terms”) apply to you. The User Terms describe your rights and responsibilities when using our online casting platform to invite, review and audition artists for creative projects (“Services”). If you are invited by a Customer to their Production, you will able to use the Services in accordance with the terms of the Customer’s chosen Production subscription.

As part of these User Terms, you agree to comply with the most recent version of our Acceptable Use Policy, which is incorporated by reference into these User Terms. If you access or use the Services, or continue accessing or using the Services after being notified of a change to the User Terms or the Acceptable Use Policy, you confirm that you have read, understand and agree to be bound by the User Terms and the Acceptable Use Policy.

## Relationship

To the extent you are invited to create an account by or on behalf of a Customer, Customer has separately agreed to our Master Subscription Agreement or entered into a written agreement with us (in either case, the “Contract”) that permitted Customer to create and configure a Production so that you and others could join (each invitee granted access to the Services, including you, is an “Authorized User”). The Contract contains our commitment to deliver the Services to Customer, who may then invite Authorized Users to join its Product(s). When an Authorized User (including, you) submits content or information to the Services, such as messages or files (“Customer Data”), you acknowledge and agree that the Customer Data is owned by Customer and the Contract may provide Customer with choices and control over that Customer Data.

AS BETWEEN US AND CUSTOMER, YOU AGREE THAT IT IS SOLELY CUSTOMER’S RESPONSIBILITY TO (A) INFORM YOU AND ANY AUTHORIZED USERS OF ANY RELEVANT CUSTOMER POLICIES AND PRACTICES AND ANY SETTINGS THAT MAY IMPACT THE PROCESSING OF CUSTOMER DATA; (B) OBTAIN ANY RIGHTS, PERMISSIONS OR CONSENTS FROM YOU AND ANY AUTHORIZED USERS THAT ARE NECESSARY FOR THE LAWFUL USE OF CUSTOMER DATA AND THE OPERATION OF THE SERVICES; (C) ENSURE THAT THE TRANSFER AND PROCESSING OF CUSTOMER DATA UNDER THE CONTRACT IS LAWFUL; AND (D) RESPOND TO AND RESOLVE ANY DISPUTE WITH YOU AND ANY AUTHORIZED USER RELATING TO OR BASED ON CUSTOMER DATA, THE SERVICES OR CUSTOMER’S FAILURE TO FULFILL THESE OBLIGATIONS. CASTING CLOUD MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, TO YOU RELATING TO THE SERVICES, WHICH ARE PROVIDED TO YOU ON AN “AS IS” AND “ AS AVAILABLE” BASIS. WE MAKE NO REPRESENTATION THAT THE SERVICES COMPLY WITH THE LAWS (INCLUDING INTELLECTUAL PROPERTY LAWS) OF ANY COUNTRY OUTSIDE AUSTRALIA AND YOU AGREE THAT YOU USE THE SERVICES AT YOUR OWN RISK AND WE ARE NOT RESPONSIBLE FOR ENSURING THAT THE SERVICES ARE COMPLIANT WITH THE LAWS, REGULATIONS OR OBLIGATIONS OF ANY PARTICULAR INDUSTRY.

## Prohibited Conduct

To the extent prohibited by applicable law, the Services are not intended for and should not be used by anyone under the age of eighteen. You represent that you are over the legal age and, to the extent you are an Authorized User, you are the intended recipient of Customer’s invitation to the Services. You may not access or use the Services for any purpose if either of the representations in the preceding sentence is not true.

You must not access or use the Services except as expressly permitted and you must not (and must not permit any other person to) use the Services in any way which is in breach of any applicable laws or which infringes any person’s rights, including intellectual property rights.

To help ensure a safe and productive work environment, all Authorized Users must comply with our Acceptable Use Policy and any applicable policies established by Customer.

## Signing up to our Site

You are required to create an account to access our Services. You may sign up through the Site, through a third party provider, such as Google or Microsoft, or by using an invitation link to our Site provided by a Customer to you. You may be required to input additional information about you in order to use the Services. You must ensure that any information you give to us when creating an account, including personal information, is accurate and up-to-date. Your account is personal and you must not share the account, or your login details, with any other person. It is your responsibility to keep your login details confidential. At our sole discretion, we may refuse to allow any person to create an account.

If you are an Authorized User and have been invited to a Production by a Customer, you will have access to that Production as determined and granted to you by the Customer. If you would like a different access level, you should contact the Customer.

These User Terms remain effective until your subscription terminates. If you are an Authorized User, then these User Terms remain effective until Customer’s subscription for you expires or terminates, or your access to the Services has been terminated by Customer or us. Please contact Customer if you at any time or for any reason wish to terminate your account, including due to a disagreement with any updates to these User Terms or the Acceptable Use Policy.

## Trial Production

You may set up or a Customer may invite you as an Authorized User to a trial Production designed to allow evaluation of our Services and to make sure our Services are right for the Customer. Any trial period (and the features available during this period) can change at any time without notice. We have the right to terminate your account if you are found to be misusing the Services during a trial period.

## Limitation of Liability

You acknowledge and agree that you use the Site or Services at your own risk and the provision of the Site or our Services may be contingent on, or impacted by, third parties, suppliers or other subcontractors (“Third Party Inputs”), and despite anything to the contrary, to the maximum extent permitted by law, we will not be responsible and will have no liability for any event outside of our reasonable control and for any default or breach of these User Terms or any law if such default or breach was caused or contributed to by any Third Party Inputs.

If we believe that there is a violation of the Contract, User Terms, the Acceptable Use Policy, or any of our other policies that can simply be remedied by Customer’s removal of certain Customer Data or taking other action, we will, in most cases, ask Customer to take action rather than intervene. We may directly step in and take what we determine to be appropriate action (including disabling your account) if Customer does not take appropriate action or we believe there is a credible risk of harm to us, the Services, Authorized Users, or any third parties.

Despite anything to the contrary, to the maximum extent permitted by law, we will not be liable for, and you waive and release us from and against, any liability caused or contributed to by, arising from or connected with (i) your acts or omissions; (ii) any use or application of the Services by a person other than you; (iii) any works, services, goods, materials or items which do not form part of the Services, or which have not been provided by us; (iv) the Services being unavailable, or any delay in us providing our services to you, for whatever reason; and/or (v) any event outside of our reasonable control.

IN NO EVENT WILL WE HAVE ANY LIABILITY TO YOU FOR ANY LOST PROFITS OR REVENUES OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COVER OR PUNITIVE DAMAGES HOWEVER CAUSED, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, AND WHETHER OR NOT THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY BREACH OF THE USER TERMS IS ONE HUNDRED DOLLARS ($100) IN THE AGGREGATE. THE FOREGOING DISCLAIMERS WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW AND DO NOT LIMIT EITHER PARTY’S RIGHT TO SEEK AND OBTAIN EQUITABLE RELIEF.

## We Own Our Services

All intellectual property (including copyright) developed, adapted, modified or created by us or our personnel, including but not limited to our Services, the Site and all other materials will at all times vest, or remain vested, in us.
 Unless otherwise expressly set out in these User Terms or agreed with us, you must not breach any copyright or intellectual property rights connected with the Services. This includes but is not limited to: (i) copying or using, in whole or in part, any of our intellectual property; (ii) reproducing, retransmitting, distributing, disseminating, selling, publishing, broadcasting or circulating any of our intellectual property to any third party including on social media; (iii) attempting to discover the source code or object code or underlying structures, ideas, know how or algorithms in relation to the Services, the data or documentation; (iv) breaching any intellectual property rights connected with the Services, including (without limitation) altering or modifying any of our intellectual property; (v) causing any of our intellectual property to be framed or embedded in another website without our permission; (vi) decompiling or reverse engineering, including attempting to decompile or reverse engineer, any software in the Services; (vii) undertaking or attempting to undertake any act which would otherwise constitute an infringement of our moral rights; (viii) transferring the Services to a third party or mirroring the Services on another server; (ix) creating derivative works from the Services; (x) and using the Services for competitive analysis or to build competitive products.

## Consumer Guarantees

Certain legislation including the Australian Consumer Law (“ACL”) in the Competition and Consumer Act 2010 (Cth), and similar consumer protection laws and regulations may confer you with rights, warranties, guarantees and remedies relating to our provision of our services which cannot be excluded, restricted or modified (“Statutory Rights”).

To the maximum extent permitted by law, you hereby acknowledge and agree that consumer laws do not apply. If however any consumer laws (e.g., in Australia, the Competition and Consumer Act 2010 (Cth)) do apply and cannot otherwise be lawfully excluded, nothing in these User Terms will restrict, exclude or modify any statutory warranties, guarantees, rights or remedies you have, and our liability is limited (at our option) to the replacement, repair or resupply of the Services or the pro-rata refund to Customer of pre-paid fees for your subscription covering the remainder of the term.

## Survival

The sections 1, 2, 5, 6, 7, 8, 10, 11, and all of the provisions set forth in section 12 will survive any termination or expiration of the User Terms.

## Privacy Policy

Our Privacy Policystates how we collect and use personal information relating to your use of the Services.

## Indemnities

You will indemnify us and our personnel against all liability that we or any of our personnel may incur and which is caused or contributed to by, whether directly or indirectly your breach of any intellectual property rights, applicable laws, or these User Terms.

## Disputes

Each party agrees to use its best endeavors to use mediation and negotiation to resolve any dispute arising out of or relating to these User Terms, prior to resorting to an external dispute resolution process before commencing court proceedings. If the parties are unable to resolve the dispute or agree on an alternate method to resolve the dispute, the dispute may be referred by either party (by notice in writing to the other party) to arbitration in accordance with the Australian Centre for International Commercial Arbitration (“ACICA”) rules. Once a dispute has been referred to ACICA, the parties agree to be bound by the decision of ACICA. The seat of arbitration will be Sydney, Australia. The language of the arbitration will be English. The number of arbitrators shall be one. The costs of the arbitration will be shared equally between the parties. Nothing in this clause will operate to prevent a party from seeking urgent injunctive or equitable relief from a court of appropriate jurisdiction.

## General

### Severability
These User Terms will be enforced to the fullest extent permitted under applicable law. If any provision of these User Terms is held to be void, invalid, illegal or unenforceable, that provision (or that part of the provision) will be severed from these User Terms and the remaining provisions of these User Terms will remain in effect.

### Waiver
No failure or delay by either party in exercising any right under the User Terms, including the Acceptable Use Policy, will constitute a waiver of that right. No waiver under the User Terms will be effective unless made in writing and signed by an authorized representative of the party being deemed to have granted the waiver.

### Assignment
You may not assign any of your rights or delegate your obligations under these User Terms, including the Acceptable Use Policy, whether by operation of law or otherwise, without the prior written consent of us (not to be unreasonably withheld). We may assign these User Terms in their entirety (including all terms and conditions incorporated herein by reference), without your consent, to a corporate affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

### Changes
We may amend these User Terms at any time, by providing reasonable notice to you or by posting an updated version on this page. Any material revisions to these User Terms will become effective on the date set forth in our notice, and all other changes will become effective on the date we publish the change. If you use the Services after the effective date of any changes, that use will constitute your acceptance of the revised terms and conditions.

### Feedback
If you send us any feedback or suggestions regarding the Services, there is a chance we will use it. You agree that we may use feedback in any manner which we see fit (including to develop new features) and no benefit will be due to you as a result of any use by us of any feedback.

### Relationship
The User Terms are not intended to create a partnership, franchise, joint venture, agency, fiduciary or employment relationship between the parties.

### Jurisdiction
Your use of the Services and any dispute arising out of your use of it is subject to the laws of New South Wales and the Commonwealth of Australia. These User Terms are governed by the laws of New South Wales and the Commonwealth of Australia and subject to the exclusive jurisdiction of the courts operating in New South Wales.

### Entire
Agreement The User Terms, contain the entire agreement between the parties and supersedes all prior and contemporaneous agreements, proposals or representations, written or oral, concerning its subject matter. To the extent of any conflict or inconsistency between the provisions in these User Terms and any pages referenced in these User Terms, the terms of these User Terms will first prevail; provided, however, that if there is a conflict or inconsistency between the Contract and the User Terms, the terms of the Contract will first prevail, followed by the provisions in these User Terms, and then followed by the pages referenced in these User Terms (e.g., the Privacy Policy). Customer will be responsible for notifying Authorized Users of those conflicts or inconsistencies and until such time the terms set forth herein will be binding.
